THE NEW ENGLAND DB2 USERS GROUP

PREAMBLE

The New England DB2 Users Group (NEDB2UG) or, simply, the Group is an association of users of the IBM data base management system product DB2. The core purpose of the Group is to provide a forum for dissemination and exchange of information related to DB2 on all supported platforms. In addition, related products from IBM and other vendors are represented at this forum.

ARTICLE I  ELIGIBILITY

There are two kinds of membership, corporate and general. Each company will be a corporate member. An annual fee of $25 will be instituted as a corporate requirement of the Group. One person from each company will be designated responsible for collecting the annual corporate fee. This person will be called the corporate representative to the Group. This fee is expected six months after individuals from the company have started attending meetings, and April of each year, thereafter. Any company may be a corporate member of the Group, but only companies, which have a license for DB2, are eligible to vote for the election of officers and changes to the bylaws. Each voting corporate member shall have only one vote and that vote shall be cast by the corporate representative, or, in his or her absence, another designated employee of that company.
General members are the employees of a company who actually attend meetings. An unlimited number of employees of a corporate member may attend meetings.

ARTICLE II  OFFICERS

1.     The officers consist of a Chairperson, Vice-chairperson, Secretary and Treasurer.

2.     An Advisory Board of seven members will advise and assist the officers in managing the Group. The Board will meet at least 4 times per year with the officers. Additional meetings may be called by either the Chairperson or an Advisory Board member. The Group's current Chairperson shall chair the meetings. The past Chairperson of the Group will attend meetings as a non-voting member.

3.     The term of office for the officers and the Advisory Board is one year, from April through March.

4.     A Nominating Committee consisting of 4 members selected by the Chairperson for the Advisory Board will nominate officers and members of the Advisory Board. Any member of the Group may make a nomination by notifying the Nominating Committee of from the floor preceding the election.

5.     The nomination of officers and Advisory Board members will be held in February of each year. The election will be held at the next regularly scheduled meeting, with only voting members participating, according to the eligibility rules in the above section.

6.     Members who work for companies, which do not have a license for DB2, may not hold the offices of Chairperson, Vice-chairperson, Secretary or Treasurer. These members may serve on the Advisory Board, but may not hold more than three seats.

7.     All issues brought before the Advisory board will be decided by a majority vote and will be binding on the Group.

8.     The Advisory Board has the discretion of removing and replacing an officer or an advisory member.

ARTICLE III MEETINGS

Meetings will be held 4 or 5 times per year at the discretion of the officers and Board. In general, meetings will not be held in July and August.

ARTICLE IV PRINTED MATERIALS

The officers will produce and distribute to the members the following materials:

1.     Meeting announcements.
2.     Minutes of the meetings.

ARTICLE V IBM REPRESENTATIVES

IBM representatives are considered members of the Group, and as such, are entitled to the same privileges and restrictions outlined above. In addition, it is the duty of these representatives to provide timely information concerning enhancements and general usage of DB2 and related products.

ARTICLE VI FEES

The Group will charge a fee per attendee, set by the officers and possibly different when paid in advance or at the door. This and the corporate fee will be used by the Group to cover the cost of running the organization.

ARTICLE VII CHANGES

Any member of the Group may propose changes to the bylaws. Proposed changes will be voted on by a majority vote by the voting members present at a regularly scheduled meeting. The Secretary shall publish the proposed changes and distribute to all members at least one month prior to the vote.

ARTICLE VII  CONDUCT FOR VENDOR ATTENDEES


The following guidelines will apply to all vendor speakers and attendees of the New England DB2 Users Group. The term "Vendors" is meant to apply to any representative of a firm, which engages in the sale of any DB2-related product or service.

The purpose of these guidelines is to promote a free exchange of DB2 technical information regarding services and related products within the DB2 arena, in keeping with the charter set forth by the New England DB2 Users Group. Vendor attendance and participation is encouraged to promote the distribution of information. The following guidelines must be followed:


1.     Distribution of all marketing materials is only permitted through the use of the marketing table provided at all meetings.

2.     Promotion of services or products during the Technical Exchange is strictly prohibited.

3.     Distribution of business cards is encouraged; however, it must be done within the limits of normal business protocol.

4.     Recruitment of members for employment is strictly prohibited during normal meeting hours.

5.     Any presentations involving a vendor product or service must be limited to technical representations and must be done in such a manner as to not be construed as a marketing effort or endorsement.

6.     The NEDB2UG mailing list is to be used only for business consistent with its purpose of publication. It is not intended for use in solicitation or recruitment.
